Dass die Arbeit von Jörin auf schweizerischem Konzernrecht fußt, stellt sich in Ansehung der internationalen Ausrichtung IP-rechtlicher Probleme und Lösungen durch Jörin nicht als Beschränkung dar.

This book deals with issues that arise in an international corporation as a result of mutual interference between its structures, organization and IP management. The thesis is divided into two thematic areas: Group of Companies and Patent and Know-how License Agreement. This paper focuses on the examination of patent and know-how licensing agreements within the Group of Companies.

In the topic area Group of Companies, the reasons for the formation of a Group as well as its types, structures and legal relationships are examined. The Swiss legal doctrine of Group of Companies law is explained and the central legal issues arising in connection with group-wide agreements are reflected.

The chapter dedicated to the management of IP rights in the Group of Companies brings together the main topics of the Group of Companies and the Patent and Know-how License Agreement. It discusses how intellectual property rights can be organized in a Group of Companies and demonstrates the advantages and disadvantages of each organization. The chapter looks at the IP management that might be performed either by one of the group’s companies which specializes in IP management and provides IP management services within Group of Companies or by an internal IP department. Furthermore, the resulting IP functions that may flow from an internal IP department as well as from an IP management company within the Group will be analyzed.

In the topic area of Patent und Know-how License Agreement, the historical development and significance of license agreements are addressed first, and the legal institution License Agreement is examined. The author notes that patent licensing is understood to mean technology licensing because license agreements usually cover more than just patents. The following questions will be answered: What is a typical design of a patent and know-how license agreement, who are the parties to a patent and know-how license agreement and what motivates them to enter into the license agreements?

Finally, the group-specific license agreement problem areas are identified, and the risks of the license business are outlined. The author counteracts these risks by outlining the group-wide organizational and contractual hedging mechanisms in a three-phase hedging concept.
