The list of shareholders for Private Limited Companies (GmbH) has been enhanced enormously due to the German Act to Modernise the Law on Private Limited Companies and Combat Abuses (MoMiG). Vis-à-vis the GmbH only the registered person is deemed to be a shareholder, the registered person is besides the seller liable for outstanding contributions and the list of shareholders is the connecting factor for a bona fide transaction.
Due to the MoMiG, the responsibility to update the list of shareholders also has been revised: As under previous legislation the managing directors have to update the list of shareholders after changes in the shareholder structure. If a notary has been involved in a change of the shareholder structure, the notary has to update the list of shareholders since the MoMiG came into force. Although this division of responsibilities to update the list of shareholders appears to be quite clear, it, infact, has turned out to be very compex and problematic in practice.
The thesis examines the legal effects of the list of shareholders in case of an update by an unauthorized person. A distinction is made between per se unauthorized persons, who are neither managing directors nor notaries, potentially authorized but in the concrete case unauthorized managing directors or notaries and finally foreign notaries. The thesis developes a coherent concept regarding the legal effects of the list of shareholders updated by an unauthorized person.
