The „UK Solvent Scheme of Arrangement“ has gained considerable popularity in the German restructuring business in recent years. Some restructurings of large companies using the Scheme of Arrangement caused quite a stir in the restructuring market. Even though this restructuring tool has been established in practice, due to the nature of the tool as a UK instrument there are a lot of unresolved issues concerning the international feasibility and effects of the Scheme. Neither the judgment of the Oberlandesgericht nor the judgment of the Bundesgerichtshof solved these issues completely. Therefore, the restructuring practice still has to deal with these legal uncertainties which might have an effect on the popularity of the tool for the restructuring of German companies. This book concentrates on these legal uncertainties concerning the international procedural law and the international private law and introduces a number of new and innovative approaches.
