When purchasing used computers from a university, can a natural person assert rights for defects if they occur a few weeks after the conclusion of the contract and the purchaser cannot prove that the defects already existed at the time of the transfer of risk? Is this natural person entitled to a right of withdrawal when concluding the purchase contract with the university via e-mail correspondence?

In practice, such questions are not infrequently the subject of disputes. However, the answer depends not only on whether the natural person acted as a consumer in the legal transaction pursuant to Section 13 of the German Civil Code (BGB), but also on whether the university acted as an entrepreneur pursuant to Section 14 of the German Civil Code (BGB). If the university was not acting commercially because, for example, it was a one-time sale of used research equipment, the question arises as to how the university is to be classified within the construct of § 13 and § 14 BGB. If one looks at the wording of the legal definitions of the consumer concept in § 13 BGB and the entrepreneur concept in § 14 BGB, it becomes apparent that the two provisions are not dualistic, i.e., they do not cover every constellation occurring in legal transactions. Thus, the legislator has not made an unambiguous provision here.

This study deals with the question of whether, in addition to the notion of consumer of § 13 BGB and the notion of entrepreneur of § 14 BGB, a legally unregulated third category exists, which the author refers to as the group of non-entrepreneurs. For this purpose, the personal scope of application of § 13 and § 14 BGB is examined in detail, delimited from each other and the gap existing between them is shown. Finally, it will be shown how a clear delimitation into two or three categories could look like de lege ferenda.
