The “sale-and-lease-back” relationship is a special appearance of the “leasing”. In contrast to the standard lease contract for commercial financings, there is no triparty relationship due to the fact that the lessee is also the seller of the object under the contract. A supplier is not necessary.
This book focuses on the civil law problems which arise in the context of the sale-and-lease-back and touches briefly on the tax and mercantile law aspects. After a discussion of the nature of the contract, the heart of this book is the development of a comprehensive and practical warranty system for sale-and-lease-back through individual contractual design options and those in standardised terms and conditions. An academic discussion of the guarantee and warranty in the context of sale-and-lease-back had not yet happened amongst legal scholars. Hence, this dissertation can be seen as a pioneering book. In the course of the investigative discussion, particular attention is given to the area of tension between freedom of contract and contractual parity. In addition, draft contracts from commercial practice find their way into the discussion. The termination or reversal of the respective contracts, which raise their own questions in the sale-and-lease-back context, are also of particular importance. The work concludes with a plea for private autonomy and a draft contract for sale-and-lease-back in the form of standardised terms and conditions.
To our knowledge, this dissertation is the first to focus on the legal issues arising from sale-and-lease-back in the law of obligations. This work finally closes the gap between isolated tax and mercantile law considerations on the one hand and discussions of the civil law warranty on the other hand.
